Acceptable use
Per D-018, civil ToS scraping is acceptable but criminal exposure is not. Counsel to draft prohibitions covering automation abuse, account sharing, reverse engineering, impersonation, and HireRoom's right to suspend.
Intellectual property
HireRoom owns the platform; user owns their resume/profile content; license HireRoom needs to operate the service; AI-output ownership (typically user owns output).
AI-generated output disclaimer
Per D-014 honesty floors. Counsel to draft 'AI may produce errors; user is responsible for accuracy of any AI-generated resume/cover-letter before submission; HireRoom enforces no-fabrication floors but cannot guarantee 100% factual output.'
DMCA + content complaints
DMCA designated agent registration with USCO, takedown procedure, counter-notification. Counsel to draft + register the agent.
Indemnity
Standard mutual or one-way indemnity language. Counsel to balance protection vs. user-friendliness for a B2C product.
Limitation of liability
Cap at fees paid in prior 12 months; carve-outs for fraud / gross negligence as required by jurisdiction. Counsel to finalize.
Arbitration + class-action waiver
Pre-dispute arbitration with carve-out for small-claims + IP injunctions; class waiver subject to enforceability per state. Counsel to draft with current case law (DoorDash v Calderon, etc.).
Governing law
Likely Texas (Trenith LLC home state per HireRoom memory) — but counsel to confirm and select forum.
Changes to these Terms
How HireRoom notifies users of changes (email + in-app banner) and how continued use constitutes acceptance. Tie to LEGAL_DOC_VERSION.
